1. Who we are BloomSpark is operated by Mordi Levi, registered in Bulgaria. Address: Yavor 18, 2770 Bansko, Bulgaria. “We/us/our” means BloomSpark. “You/client” means the customer purchasing our services. Governing law: Bulgarian law. Venue: courts of Sofia, Bulgaria. Contract language: English.
2. Services We provide two main types of services: (A) creative studio services for brand systems and asset production (“Creative Studio Services”) and (B) a paid community for AI brand education (“BloomSpark Labs Membership”).
A. Creative Studio Services
Brand Foundation: A fixed-scope engagement to establish your core brand strategy and identity system .
Creative OS Setup: A one-time setup service to install your brand’s living system inside Canva, including your Brand Kit, starter templates, and business account setup . This is a prerequisite for all Monthly Plans.
Monthly Plans (Brand Base, Brand Growth, Brand Expand): Ongoing subscriptions that provide creative direction, new master templates, human “brand checks” on assets, and brand alignment support as defined on our website . Plan tiers determine the volume of deliverables, support priority, and Service Level Agreements (SLAs).
Asset Packs: Standalone, fixed-price packs for original, exclusive assets (like illustrations, icons, or photography) to expand your brand’s visual language .
B. BloomSpark Labs Membership
BloomSpark Labs Membership: A paid community and subscription service designed to help members create AI-powered content that reinforces their brand identity. This service is separate from the Creative Studio Services.
Deliverables: Membership includes access to a private Discord community , a Notion-based Knowledge Base (‘Lab Docs’) , async feedback from the founder and peers , weekly live working sessions (‘Labs Weekly’) , and a library of AI mini-apps, workflows, and templates.
Custom work (Creative Studio) is available on request and quoted separately. Final scopes are those published on our site or approved in writing.
3. Billing and renewals Invoices are issued in the currency stated on the invoice. Prices are as listed on our website or proposal at time of purchase. Taxes, if applicable, are added per law. Brand Foundation, Creative OS Setup, and standalone Asset Packs are billed 100% upfront to book the work.
Subscriptions, including Creative Studio Monthly Plans and the BloomSpark Labs Membership, bill in advance and auto-renew month-to-month until canceled. Cancellation takes effect at the end of the current paid period; no pauses unless expressly offered. Late payment: we may suspend work or access to your Creative OS or Labs community for overdue invoices and charge interest up to the maximum permitted by law.
4. Refunds and cooling-off Work is tailored and access is granted immediately; refunds are generally not provided once work has started or access to your Creative OS, BloomSpark Labs community (Discord) , or Labs Docs (Notion) has been granted. If mandatory consumer protections apply, we will follow Bulgarian and EU law. Subscription cancellations run to period end; no partial refunds.
5. Scope, workflow, and revisions
Creative Studio Services: Each service, plan, or pack has a defined scope ; anything else requires a change order or new pack. We use a queue-based workflow. Turnaround times and Service Level Agreements (SLAs) are as published on our website for your specific plan; Growth and Expand plans receive queue priority as defined. Revision rounds are as defined in your specific plan or service scope. New concepts or major direction changes are out of scope. You are responsible for timely inputs and approvals; your delays extend timelines.
BloomSpark Labs Membership: The workflow is based on active learning and direct support , including weekly live sessions , async feedback channels , and access to the Lab Docs knowledge base. Specific creative SLAs, revision rounds, and production queues do not apply to this community membership model.
6. Intellectual property and usage
Creative Studio Services: On full payment for a deliverable (like an Asset Pack or Brand Foundation), we assign to you the copyright in the final approved original assets for your business use , excluding third-party materials and tools that carry their own licenses . Working files, procedural setups, and internal systems remain our property. Where assets include stock, fonts, or generator outputs, your rights are limited to the relevant third-party licenses. You must obtain any end-user or seat licenses required for ongoing use.
BloomSpark Labs Membership: All content provided within the Labs, including tutorials, guides, AI mini-apps, and templates (‘Lab Docs’) , is our intellectual property. Upon payment of your membership, we grant you a limited, non-exclusive, non-transferable license to use these resources for your own business purposes during your active membership. You may not share, resell, or distribute these resources.
Portfolio and testimonials: Unless you mark the project confidential in writing before work starts, you grant us a right to display non-confidential results in our portfolio, website, social channels, and customer lists. You also grant permission to use your company name and logo as a customer reference. You may opt out at any time by written notice.
7. Use of AI and production tools
Creative Studio Services: We combine human art direction with AI-assisted production and may use tools from major providers and stock sources. Outputs are subject to those providers’ license terms and restrictions; we cannot grant rights we do not have . We do not guarantee global uniqueness or trademark registrability of AI-assisted outputs. Tell us upfront about sensitive uses such as trademarks or merchandise so we can validate license fit.
BloomSpark Labs Membership: The Labs service teaches you how to use third-party AI tools to create content. We are not responsible for the outputs of those tools, their terms of service, or their licensing restrictions. We provide guidance but do not guarantee global uniqueness or trademark registrability of outputs you create using the methods we teach.
8. Client content and warranties You represent and warrant that any content you supply, including brand assets, images, fonts, copy, and data, is properly licensed and non-infringing. You are liable for claims arising from your materials and will indemnify us for related losses.
9. Service Access, Workspaces, and Data
Creative OS (Canva): For Creative Studio clients, your “Creative OS” is the system we build and manage for you within a business Canva account. This includes your Brand Kit, templates, and assets. Studio Workspace (Management Hub): For Creative Studio clients, we may provide access to a separate workspace (e.g., in Notion) for managing briefs, requests, and approvals. BloomSpark Labs (Discord & Notion): For Labs members, services are delivered via a private Discord server and a Notion knowledge base (‘Lab Docs’).
Access & Archiving: Access to the Canva Creative OS, Studio management workspace, Labs Discord, and Labs Docs is contingent on an active subscription or engagement. If you cancel your subscription, your access will be terminated at the end of the paid period.
Backups: For Creative Studio services, you are responsible for downloading and backing up all final assets from Canva and our workspace. For BloomSpark Labs, access to resources terminates with your membership; you are not permitted to download, copy, or archive the Lab Docs knowledge base.
Acceptable use: No unlawful content or activity, no malware, no harassment, no automated scraping, and no attempts to bypass limits or security. We may rate-limit or suspend access for abuse, suspected fraud, or IP complaints. Confidentiality: Each party will protect the other’s non-public information and use it only for this engagement. Data and security: We process limited business contact data to deliver services and avoid special-category personal data. We use reputable processors, including Canva, Discord, and Notion, under reasonable technical and organizational measures. A simple Data Processing Addendum is available on request.
10. Approvals and acceptance For Creative Studio Services, provide feedback or approval within 7 calendar days unless otherwise agreed. If we do not receive feedback, deliverables may be deemed accepted for scheduling and billing.
11. Scheduling and resourcing For Creative Studio Services, start dates are tentative until payment is received. We may resequence work to maintain quality. Missed meetings or inputs may result in your slot being rebooked.
12. Non-solicitation For 12 months after our engagement, you will not solicit for employment the individuals who served you through BloomSpark without our written consent.
13. Warranties and disclaimers We will perform with reasonable skill and care. Otherwise, services and deliverables are provided “as is.” We disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted operation, unique outputs, or trademark registrability.
14. Limitation of liability To the extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, including lost profits or data. Our aggregate liability is capped at the fees you paid to us in the 3 months before the event giving rise to the claim.
15. IP clearance and legal review We do not provide legal clearance, title searches, or regulatory approvals. You are responsible for obtaining legal review and clearance for trademarks, claims, and regulated uses of the deliverables.
16. Notices Notices under this agreement are valid if sent by email to the addresses specified in the order or on our website contact page, or by registered mail to the addresses in Section 1. Notices are deemed received on the business day sent if before 17:00 local time, otherwise the next business day.
17. Order of precedence If there is a conflict between documents, the following order applies: a) a signed Proposal or Statement of Work, b) these Terms and Conditions, c) any website policies referenced by these Terms.
18. Force majeure Neither party is liable for delay or failure to perform due to events beyond reasonable control, including platform outages (including Canva, Discord, or Notion), utilities failure, network or hosting provider issues, acts of God, war, terrorism, civil unrest, strikes, or government actions. Obligations are suspended for the duration of the event, and schedules will be adjusted accordingly.
19. Holiday and office hours Our standard office hours and response windows are published on our website or in your proposal. Work is not performed on Bulgarian public holidays or studio-announced breaks. Urgent requests outside these windows require prior agreement and may incur additional charges.
20. Termination Either party may terminate for material breach if uncured within 10 days of written notice. We may suspend or terminate for non-payment or misuse. On termination, you will pay for all completed work and approved expenses. Provisions intended to survive, including IP, confidentiality, limits of liability, and governing law, will survive.
21. Changes to terms We may update these Terms to reflect changes in law or services. The posted version applies to new purchases. For active subscriptions, we will notify you of material changes in advance.
